Welcome to AITech Cloud, Inc. ("Platform", "Service", "we", "us", or "our"). These Terms and Conditions ("Terms", "Agreement") govern your access to and use of our AI-powered learning platform, including any content, functionality, and services offered on or through www.aitcloud.ai, www.aitcloud.org, www.aitcloudhub.com, www.skovia.ai and all subdomains (collectively, the "Platform").

IMPORTANT NOTICE: By accessing or using the Platform, you agree to be bound by these Terms. If you disagree with any part of these Terms, you may not access the Platform. These Terms apply to all visitors, users, and others who access or use the Platform.

1. Acceptance of Terms

1.1 Agreement to Terms

By creating an account, accessing, or using any part of the Platform, you acknowledge that you have read, understood, and agree to be bound by these Terms, including our Privacy Policy, which is incorporated herein by reference. This Agreement constitutes a legally binding contract between you and AITech Cloud, Inc.

1.2 Additional Terms

Certain features of the Platform may be subject to additional terms and conditions, which will be presented to you at the time you access such features. Those additional terms are incorporated into these Terms by reference.

1.3 Modifications

We reserve the right to modify these Terms at any time. We will notify you of material changes via email or through a prominent notice on the Platform at least 30 days before the effective date. Your continued use of the Platform after such modifications constitutes your acceptance of the updated Terms.

2. Definitions

For purposes of these Terms, the following definitions apply:

"Account" means the user account you create to access and use the Platform.
"AI Services" means the artificial intelligence-powered features including but not limited to AI Tutor, content generation, quiz creation, flashcard generation, and topic extraction.
"Content" means all text, graphics, images, music, software, audio, video, information, and other materials available on the Platform.
"Course" means educational content organized into modules and lessons available on the Platform.
"Educator" or "Instructor" means a user who creates and publishes educational content on the Platform.
"Learner" or "Student" means a user who enrolls in and consumes educational content on the Platform.
"Platform Content" means Content owned or licensed by AITech Cloud Inc.
"Subscription" means a paid plan that provides access to premium features and services.
"Tenant" means an institutional or organizational account with multi-user access.
"User Content" means Content that you upload, submit, post, or transmit to the Platform.
"User" or "you" means any individual or entity that accesses or uses the Platform.

3. Eligibility and Account Registration

3.1 Age Requirements

You must be at least 13 years of age to use the Platform. If you are between 13 and 18 years of age (or the age of legal majority in your jurisdiction), you may only use the Platform under the supervision of a parent or legal guardian who agrees to be bound by these Terms. Users under 13 are prohibited from using the Platform.

3.2 Account Registration

To access certain features of the Platform, you must register for an Account. When registering, you agree to:

Provide accurate, current, and complete information
Maintain and promptly update your Account information
Maintain the security and confidentiality of your login credentials
Notify us immediately of any unauthorized access or security breach
Accept responsibility for all activities that occur under your Account

3.3 Account Types

The Platform offers different account types:

Individual Learner Account: For personal learning and skill development
Educator Account: For creating and publishing educational content
Institutional Account: For schools, universities, and organizations
Enterprise Account: For businesses and corporate training programs

3.4 Verification

We reserve the right to verify your identity and eligibility at any time. You agree to provide any additional information or documentation we may reasonably request for verification purposes.

4. User Accounts and Security

4.1 Account Security

You are responsible for maintaining the confidentiality of your Account credentials and for all activities that occur under your Account. You agree to:

Use a strong, unique password for your Account
Not share your Account credentials with any third party
Not allow others to access your Account
Immediately notify us of any unauthorized use of your Account
Log out of your Account at the end of each session

4.2 Account Suspension

We reserve the right to suspend or terminate your Account if we reasonably believe that:

You have violated these Terms
Your Account has been compromised
Your use of the Platform poses a security risk
You have engaged in fraudulent or illegal activity
You have provided false or misleading information

4.3 Account Deletion

You may delete your Account at any time through your Account settings. Upon deletion:

Your access to the Platform will be terminated
Your User Content may be deleted (subject to our data retention policies)
You will not be entitled to any refunds for unused subscription periods
Certain information may be retained as required by law or for legitimate business purposes

5. Subscription Plans and Pricing

5.1 Free Plan

We offer a Free Forever plan that includes:

Access to basic platform features
Limited AI-powered services
Personal learning dashboard
Community support

The Free Plan is subject to usage limitations and may include advertisements. We reserve the right to modify Free Plan features at any time with reasonable notice.

5.2 Paid Subscriptions

Paid subscription plans include additional features such as:

Unlimited AI Tutor access
Advanced content creation tools
Priority support
Analytics and reporting
Custom branding options
API access

5.3 Pricing

Current pricing for subscription plans is available on our website. We reserve the right to modify pricing at any time. Price changes will not affect your current subscription period but will apply upon renewal unless otherwise specified.

5.4 Subscription Period

Subscriptions are available on monthly or annual billing cycles. Your subscription will automatically renew at the end of each billing period unless you cancel before the renewal date.

5.5 Educator Revenue Sharing

Educators who sell courses on the Platform are subject to our Revenue Sharing Agreement, which includes:

Revenue split terms (typically 70% educator / 30% platform)
Payment processing fees
Minimum payout thresholds
Payment schedules and methods
Tax reporting requirements

6. Payment Terms and Billing

6.1 Payment Methods

We accept payment via credit card, debit card, and other payment methods as indicated on the Platform. By providing payment information, you represent and warrant that you are authorized to use the designated payment method.

6.2 Automatic Renewal

Subscriptions automatically renew unless you cancel before the renewal date. You authorize us to charge your payment method for the renewal fee. We will provide notice of upcoming renewals and the renewal amount.

6.3 Cancellation

You may cancel your subscription at any time through your Account settings. Cancellation will be effective at the end of your current billing period. You will retain access to paid features until the end of the billing period.

6.4 Refund Policy

Refunds are provided on a case-by-case basis at our sole discretion. Generally:

Monthly subscriptions: No refunds for partial months
Annual subscriptions: Pro-rated refunds may be available within 30 days of purchase
Course purchases: Refunds available within 30 days if less than 30% of content has been accessed
No refunds for violations of these Terms

6.5 Failed Payments

If a payment fails, we will attempt to process the payment again. If payment continues to fail, your subscription may be suspended or terminated. You remain responsible for any uncollected amounts.

6.6 Taxes

You are responsible for all applicable taxes associated with your use of the Platform. We will collect applicable sales tax, VAT, or GST where required by law. Prices displayed may or may not include taxes depending on your location.

7. Content and Intellectual Property

7.1 Platform Ownership

The Platform and all Platform Content, including but not limited to text, graphics, logos, icons, images, audio clips, video clips, data compilations, software, and the compilation thereof (collectively, "Platform Content"), are the property of AITech Cloud Inc or its licensors and are protected by United States and international copyright, trademark, patent, trade secret, and other intellectual property laws.

7.2 Limited License

Subject to your compliance with these Terms, we grant you a limited, non-exclusive, non-transferable, non-sublicensable, revocable license to:

Access and use the Platform for your personal or internal business purposes
Download and print Content for personal, non-commercial use
Use AI-generated content in accordance with Section 9

7.3 Restrictions

You may not:

Modify, copy, distribute, transmit, display, perform, reproduce, publish, license, create derivative works from, transfer, or sell any Platform Content
Reverse engineer, decompile, or disassemble any software or technology used in the Platform
Remove, alter, or obscure any copyright, trademark, or other proprietary rights notices
Use any automated system (including robots, spiders, or scrapers) to access the Platform
Frame or mirror any part of the Platform without our prior written authorization
Use the Platform to build a competitive product or service

7.4 Trademarks

"AITech Cloud Inc," our logo, and other marks used on the Platform are trademarks or registered trademarks of AITech Cloud, Inc. You may not use these marks without our prior written permission.

7.5 Third-Party Content

The Platform may contain links to third-party websites or resources. We are not responsible for the availability, accuracy, or content of such third-party resources. Links do not imply endorsement by AITech Cloud Inc.

8. User-Generated Content

8.1 Your Content

You retain ownership of all User Content you submit to the Platform. By submitting User Content, you grant us a worldwide, non-exclusive, royalty-free, sublicensable, and transferable license to use, reproduce, distribute, prepare derivative works of, display, and perform your User Content in connection with the Platform and our business operations.

8.2 Content Representations

By submitting User Content, you represent and warrant that:

You own or have the necessary rights to submit the User Content
The User Content does not infringe any third-party intellectual property rights
The User Content complies with these Terms and applicable laws
The User Content does not contain viruses, malware, or other harmful code
You have obtained all necessary consents, releases, and permissions

8.3 Content Standards

User Content must not:

Contain illegal, harmful, threatening, abusive, harassing, defamatory, vulgar, obscene, or otherwise objectionable material
Promote discrimination, bigotry, racism, hatred, harassment, or harm against any individual or group
Violate any intellectual property or other proprietary rights
Contain unsolicited advertising, promotional materials, spam, or solicitations
Impersonate any person or entity or misrepresent your affiliation with any person or entity
Contain private information of third parties without consent
Interfere with or disrupt the Platform or servers or networks connected to the Platform

8.4 Content Moderation

We reserve the right, but have no obligation, to:

Monitor, review, or edit User Content
Remove or refuse to post any User Content for any reason
Take any action with respect to User Content that we deem necessary or appropriate
Disclose User Content to comply with legal obligations

8.5 Educator Content

Educators who create courses on the Platform agree to:

Provide accurate course descriptions and learning objectives
Deliver high-quality educational content
Respond to student questions and feedback in a timely manner
Comply with our Content Quality Standards
Not engage in misleading marketing or false advertising

8.6 Content Removal

We may remove User Content that violates these Terms without prior notice. Repeated violations may result in Account suspension or termination.

9. AI-Powered Services

9.1 AI Service Description

The Platform utilizes artificial intelligence and machine learning technologies to provide various services including:

AI Tutor for personalized learning assistance
Automated content generation (summaries, quizzes, flashcards)
Topic extraction and analysis
Personalized learning recommendations
Content enhancement and optimization

9.2 AI-Generated Content

Content generated by our AI services ("AI-Generated Content") is provided for educational purposes only. You acknowledge and agree that:

AI-Generated Content may contain errors, inaccuracies, or incomplete information
AI-Generated Content should be reviewed and verified before use
We do not guarantee the accuracy, completeness, or reliability of AI-Generated Content
You are responsible for evaluating and using AI-Generated Content appropriately
AI-Generated Content does not constitute professional advice

9.3 AI Training and Improvement

We may use anonymized and aggregated data from your interactions with AI services to improve our algorithms and services. We do not use your personal information or proprietary content to train AI models that benefit other users without your explicit consent.

9.4 AI Service Limitations

You acknowledge that AI services:

May not always produce desired or expected results
May be temporarily unavailable due to maintenance or technical issues
Are subject to usage limits based on your subscription plan
May be modified, updated, or discontinued at our discretion

9.5 Responsible AI Use

You agree to use AI services responsibly and not to:

Attempt to manipulate or exploit AI systems
Use AI services to generate harmful, illegal, or inappropriate content
Reverse engineer or attempt to extract AI models or algorithms
Use AI services to create content that infringes third-party rights

10. Prohibited Uses

10.1 General Prohibitions

You agree not to use the Platform to:

Violate any applicable local, state, national, or international law or regulation
Infringe upon or violate our intellectual property rights or the intellectual property rights of others
Harass, abuse, insult, harm, defame, slander, disparage, intimidate, or discriminate
Submit false or misleading information
Upload or transmit viruses, malware, or any other malicious code
Collect or track personal information of others without consent
Spam, phish, pharm, pretext, spider, crawl, or scrape
Interfere with or circumvent security features of the Platform
Engage in any automated use of the system without authorization
Impersonate or attempt to impersonate AITech Cloud Inc, employees, other users, or any other person or entity

10.2 Academic Integrity

Users must maintain academic integrity and not use the Platform to:

Cheat on exams or assignments
Plagiarize content
Share answers or solutions inappropriately
Circumvent educational institution policies
Facilitate academic dishonesty

10.3 Commercial Restrictions

Unless explicitly authorized, you may not:

Use the Platform for commercial purposes outside of our Educator program
Resell or redistribute Platform Content or services
Use the Platform to compete with AITech Cloud Inc
Extract data for commercial databases or directories

10.4 Security Violations

You may not:

Attempt to gain unauthorized access to any portion of the Platform
Probe, scan, or test the vulnerability of the Platform
Breach or circumvent any security or authentication measures
Access data not intended for you
Interfere with service to any user, host, or network

11. Termination and Suspension

11.1 Termination by You

You may terminate your Account at any time by:

Accessing your Account settings and selecting "Delete Account"
Contacting our support team
Ceasing all use of the Platform

11.2 Termination by Us

We may suspend or terminate your Account immediately, without prior notice or liability, for any reason, including but not limited to:

Breach of these Terms
Fraudulent, illegal, or harmful activity
Extended period of inactivity
Request by law enforcement or government agency
Unexpected technical issues or security concerns
Discontinuation or material modification of the Platform

11.3 Effect of Termination

Upon termination:

Your right to use the Platform will immediately cease
We may delete your Account and User Content
You will not be entitled to any refunds
Sections of these Terms that by their nature should survive termination will survive
You remain liable for all obligations incurred prior to termination

11.4 Data Retention

After termination, we may retain certain information as required by law or for legitimate business purposes, including:

Transaction records
Communications history
Compliance and legal documentation
Aggregated and anonymized data

12. Disclaimers and Warranties

THE PLATFORM AND ALL CONTENT, PRODUCTS, AND SERVICES ARE PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, OR COURSE OF PERFORMANCE.

12.2 No Warranty of Accuracy

WE DO NOT WARRANT THAT:

THE PLATFORM WILL MEET YOUR REQUIREMENTS OR EXPECTATIONS
THE PLATFORM WILL BE UNINTERRUPTED, TIMELY, SECURE, OR ERROR-FREE
THE RESULTS OBTAINED FROM USE OF THE PLATFORM WILL BE ACCURATE OR RELIABLE
THE QUALITY OF ANY PRODUCTS, SERVICES, INFORMATION, OR OTHER MATERIAL OBTAINED THROUGH THE PLATFORM WILL MEET YOUR EXPECTATIONS
ANY ERRORS IN THE PLATFORM WILL BE CORRECTED

12.3 Educational Content Disclaimer

Educational content on the Platform is for informational and educational purposes only. We do not guarantee:

The accuracy, completeness, or usefulness of any content
That courses will lead to specific outcomes or certifications
That content meets specific educational standards or requirements
That AI-generated content is error-free or suitable for all purposes

12.4 Third-Party Content

We are not responsible for the accuracy, reliability, or legality of User Content or third-party content. Views expressed by users do not represent our views or values.

12.5 Professional Advice Disclaimer

Content on the Platform does not constitute professional advice (legal, medical, financial, etc.). You should consult with appropriate professionals for specific advice tailored to your situation.

12.6 No Guarantee of Results

We do not guarantee any specific results from using the Platform, including but not limited to:

Academic achievement or improvement
Career advancement or employment
Certification or credential attainment
Revenue generation for educators

13. Limitation of Liability

IMPORTANT: THIS SECTION LIMITS OUR LIABILITY TO YOU. PLEASE READ CAREFULLY.

13.1 Exclusion of Damages

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL AITECH CLOUD INC, ITS AFFILIATES, OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, SUPPLIERS, OR LICENSORS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO:

LOSS OF PROFITS, DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES
DAMAGES RESULTING FROM YOUR ACCESS TO OR USE OF OR INABILITY TO ACCESS OR USE THE PLATFORM
DAMAGES RESULTING FROM ANY CONDUCT OR CONTENT OF ANY THIRD PARTY ON THE PLATFORM
DAMAGES RESULTING FROM UNAUTHORIZED ACCESS, USE, OR ALTERATION OF YOUR TRANSMISSIONS OR CONTENT
DAMAGES RESULTING FROM ANY CONTENT OBTAINED FROM THE PLATFORM

13.2 Liability Cap

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, OUR TOTAL LIABILITY TO YOU FOR ALL CLAIMS ARISING OUT OF OR RELATED TO THESE TERMS OR YOUR USE OF THE PLATFORM SHALL NOT EXCEED THE GREATER OF:

THE AMOUNT YOU PAID TO US IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM, OR
ONE HUNDRED DOLLARS ($100.00)

13.3 Basis of the Bargain

THE LIMITATIONS OF DAMAGES SET FORTH ABOVE ARE FUNDAMENTAL ELEMENTS OF THE BASIS OF THE BARGAIN BETWEEN AITECH CLOUD INC AND YOU. THE PLATFORM WOULD NOT BE PROVIDED WITHOUT SUCH LIMITATIONS.

13.4 Exceptions

Some jurisdictions do not allow the exclusion or limitation of certain warranties or liabilities. In such jurisdictions, our liability will be limited to the maximum extent permitted by law.

14. Indemnification

14.1 Your Indemnification Obligations

You agree to defend, indemnify, and hold harmless AITech Cloud Inc, its affiliates, and their respective officers, directors, employees, agents, licensors, and suppliers from and against any claims, liabilities, damages, judgments, awards, losses, costs, expenses, or fees (including reasonable attorneys' fees) arising out of or relating to:

Your violation of these Terms
Your use or misuse of the Platform
Your User Content
Your violation of any rights of another party
Your violation of any applicable laws or regulations
Your negligence or willful misconduct

14.2 Defense and Settlement

We reserve the right to assume the exclusive defense and control of any matter subject to indemnification by you, in which event you will cooperate with us in asserting any available defenses. You may not settle any claim without our prior written consent.

14.3 Notice

We will provide you with prompt notice of any claim for which we seek indemnification, provided that our failure to provide prompt notice will not relieve you of your indemnification obligations except to the extent you are materially prejudiced by such failure.

15. Data Privacy and Security

Your privacy is important to us. Our collection, use, and disclosure of your personal information is governed by our Privacy Policy, which is incorporated into these Terms by reference. Please review our Privacy Policy to understand our practices.

16. DMCA and Copyright Policy

17. Dispute Resolution and Arbitration

Any disputes arising from these Terms or your use of the Platform will be resolved through binding arbitration in accordance with the American Arbitration Association rules, except where prohibited by law.

18. Governing Law and Jurisdiction

These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, United States, without regard to its conflict of law provisions.

19. Modifications to Terms

We reserve the right to modify these Terms at any time. Material changes will be communicated via email or Platform notification at least 30 days before taking effect.

20. General Provisions

20.1 Entire Agreement

These Terms constitute the entire agreement between you and AITech Cloud Inc. regarding the Platform.

20.2 Severability

If any provision of these Terms is found to be unenforceable, the remaining provisions will remain in full force and effect.

20.3 Waiver

No waiver of any term shall be deemed a further or continuing waiver of such term or any other term.

20.4 Assignment

You may not assign these Terms without our prior written consent. We may assign these Terms without restriction.

20.5 Force Majeure

We shall not be liable for any failure to perform due to circumstances beyond our reasonable control.
